These Terms of Service govern the use of this website and the property management, land consulting and related services provided by DSN-HDN Properties LLC. By using this website or by engaging our services you agree to these terms. Please read them carefully, because they describe what you can expect from the Company and what the Company expects from you.

The terms are written in plain English so that they can be understood without legal training. They are divided into sections that address the questions we receive most often.

1. Agreement to These Terms

These Terms of Service form a binding agreement between you and DSN-HDN Properties LLC. By visiting this website, submitting an enquiry or entering into a service agreement with the Company, you confirm that you accept these terms. If you do not accept them, please do not use the website or engage the services.

Where a separate written service agreement exists between you and the Company, that agreement governs the specific engagement and these terms apply alongside it. If a conflict arises, the specific written agreement controls for the matter in conflict.

2. Definitions

The terms we, us, our and the Company refer to DSN-HDN Properties LLC, 178 S Matterhorn Dr, Alpine - 84004-1532, United States (US). The term you refers to any visitor to this website and to any client, owner, tenant, guest or buyer who interacts with the Company.

The term services refers collectively to our residential property management, vacation rental oversight, land and lot consulting, title records coordination, seasonal maintenance programs and buyer representation services. The term website refers to the pages served from this domain.

3. Eligibility and Acceptable Use

You may use this website and engage our services if you are able to enter into a binding contract and if you provide accurate information about yourself and the property concerned. You agree not to misuse the website, attempt to gain unauthorized access to it, interfere with its operation or use it to send unlawful, misleading or harmful material.

You agree to use the contact form and email channels only for genuine enquiries relating to property matters. We reserve the right to decline or disregard any communication that is abusive, fraudulent or unrelated to our services.

4. Scope of Our Services

The Company provides mountain property management, land consulting and seasonal care from its Alpine, Utah office. Each of the six service tracts is described on the Services page, and the scope of any particular engagement is set out in the written agreement between you and the Company.

We provide our services with reasonable skill and care and in line with the standards that apply to property management in our region. We do not guarantee any particular financial result, rental outcome, planning decision or market condition, because those depend on factors outside our control.

5. Service Engagements and Agreements

A service engagement begins when you and the Company have agreed in writing the service tract, the schedule and the cost structure. Until such agreement exists, the Company is not obliged to carry out any work and no fee is due.

Each engagement records what is included and what is excluded, so that expectations are clear from the start. Changes to the scope are confirmed in writing before the additional work begins. This discipline protects both the client and the Company and keeps the relationship on a firm footing.

6. Owner and Client Obligations

To manage or advise on a property effectively we depend on accurate information and timely cooperation. You agree to provide true and current details about the property, its condition, its legal status and any known hazard, restriction or dispute. You agree to tell us promptly about any change that affects the property or the service.

Where a decision is required, you agree to respond within a reasonable time so that work can proceed and so that a property is not left in a vulnerable condition. Where you must obtain the consent of a co owner, a tenant or an authority before work is carried out, you are responsible for arranging that consent.

7. Fees, Billing and Payment

The fee for each service tract is set out in the written agreement and may take the form of a management percentage, a flat program fee or an hourly consulting rate, depending on the work. All fees are described before the work begins, and no fee is charged without a basis in the agreement.

Invoices are issued on the schedule stated in the agreement and are payable within the period shown on the invoice. Where an invoice is overdue, the Company may pause non essential work until the account is brought current, and may charge interest where the agreement or applicable law allows. Costs advanced on your behalf, such as a contractor invoice for an approved repair, are passed through at the amount paid and are not marked up.

8. Tenancy and Rental Matters

Where we manage a tenancy, we do so in line with the lease and with applicable housing law. Owner and tenant obligations are governed by the lease and by the law that applies to the property, and the Company acts as the manager rather than as a party to the lease unless the agreement expressly says otherwise.

For short term rentals we coordinate preparation, cleaning, supplies and maintenance, while the owner retains the decisions about listing, pricing and availability unless the agreement delegates those decisions. We do not guarantee any level of occupancy, revenue or guest rating.

9. Land Consulting and Advisory Limits

Our land and lot consulting provides a grounded first reading of a parcel, based on the recorded plat, the terrain and the questions that matter to an owner. Our advice is advisory and organizing in nature. It does not replace the work of licensed engineers, surveyors, geologists, attorneys or municipal planning staff.

Any decision about access, grading, drainage, setbacks or the buildable envelope should be confirmed by the appropriate licensed professional and by the relevant authority. The Company is not liable for a decision taken in reliance on our advisory observations without the confirmation of a licensed professional.

10. Title Records Coordination Limits

Our title records coordination gathers and organizes recorded documents and keeps an index of them for the owner. It is a records and administration service. The Company does not issue a title opinion, does not certify ownership and does not provide legal advice about a boundary or an easement.

Where a boundary question or a title defect is identified, the appropriate next step is a licensed attorney or a professional surveyor. Our role is to make their work easier by keeping the paper trail in order, and we are not responsible for a defect that a review of the records has not uncovered.

11. Maintenance and Seasonal Programs

Our seasonal maintenance programs are preventative by design. They are scheduled in advance and carried out with reasonable care using tradespeople we select. We do not warrant the work of any independent contractor beyond the warranty that the contractor offers, though we will pursue a warranty claim on your behalf where we engage the contractor.

A mountain property can be affected by weather, ground movement and events beyond any person control. Where a condition arises from such an event, the Company will act promptly to protect the property and inform the owner, but is not responsible for a loss that no reasonable measure could have prevented.

12. Buyer Representation Terms

When we represent a buyer, we act in the interest of that buyer through the search, the walk through and the negotiation. We are not the agent of the seller unless a separate written agreement says otherwise, and we disclose any relationship that could affect our independence.

A buyer representation engagement does not guarantee that a suitable property will be found or that a particular price will be achieved. It is a professional service that brings local knowledge, careful reading of a parcel and disciplined negotiation to the buyer side of a transaction.

13. Website Content and Accuracy

The content of this website is provided for general information about the Company and its services. We work to keep it accurate and current, but we do not warrant that every page is free of error or that it reflects the latest change in law or practice.

Nothing on this website constitutes legal, financial, engineering or survey advice. A formal engagement is required before the Company undertakes any work, and the written agreement for that engagement governs the terms that apply.

14. Intellectual Property

The text, layout, graphics and code of this website belong to DSN-HDN Properties LLC or are used with permission. You may read and print pages for your own reference, but you may not copy, republish or redistribute the content for a commercial purpose without written permission from the Company.

The Company name and any associated marks may not be used in a way that suggests a partnership, endorsement or affiliation that does not exist. Any permitted use must be accurate and must not damage the reputation of the Company.

16. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, the website is provided on an as available basis and the Company disclaims warranties that are not expressly stated in these terms. We do not exclude any liability that the law does not permit us to exclude.

Except where the law provides otherwise, the total liability of the Company for a claim arising out of a service engagement is limited to the fees paid to the Company for the service to which the claim relates. The Company is not liable for indirect, incidental or consequential losses such as lost profit or lost opportunity. These limits do not apply to fraud, willful misconduct or any liability that cannot be limited by law.

17. Indemnity

You agree to indemnify and hold harmless the Company and its team from a claim, loss or expense that arises from information you provide that is inaccurate or misleading, from your failure to obtain a consent you were responsible for, or from your breach of these terms.

This indemnity does not apply to a loss caused by the negligence or willful misconduct of the Company itself. Each party is responsible for its own conduct to the extent the law provides.

18. Termination and Suspension

Either party may end a service engagement in line with the notice period stated in the written agreement. Where a client breaches these terms or fails to pay an invoice, the Company may suspend or terminate the engagement after giving notice and an opportunity to remedy the matter.

When an engagement ends, the Company will return or transfer property records as the agreement provides, account for any funds held and complete the handover in a way that protects the property and the client. Obligations that by their nature should survive termination, such as payment of outstanding fees and the limits of liability, continue to apply.

19. Privacy and Data Handling

Our handling of personal information is described in our Privacy Policy, which forms part of these terms. In broad summary, we collect and use information to deliver our services, we protect it with reasonable safeguards and we share it only where a service, the law or your instruction requires.

By using this website or engaging our services you acknowledge that you have read the Privacy Policy and that you understand how your information is handled.

20. Governing Law and Disputes

These terms are governed by the laws of the State of Utah and the applicable laws of the United States, without regard to conflict of law rules. If a dispute arises, the parties will first attempt to resolve it through good faith discussion.

Where a dispute cannot be resolved by discussion, it will be brought in a court of competent jurisdiction located in the State of Utah, unless applicable law requires otherwise. Each party consents to the jurisdiction of that court for the purpose of resolving the dispute.

21. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our services, our practices or the law. When we make a material change we will update the date at the top of the page and, where appropriate, provide a notice on the website.

Your continued use of the website or continued engagement of the services after a change takes effect means that you accept the updated terms. We encourage you to review this page when you begin a new service engagement.

22. Contacting Us

If you have a question about these Terms of Service or about a service engagement, please contact our office using the details below. We aim to answer every question clearly and promptly.

These terms describe the whole of the general agreement between you and the Company regarding the use of this website. A specific written engagement agreement supplements these terms for the services it covers.

23. Assignment and Severability

The Company may assign or transfer these terms and any engagement to a successor business where that successor continues to provide the services on equivalent terms. You may not assign your rights under these terms without the written consent of the Company.

If any part of these terms is found to be unenforceable, that part will be limited or removed to the smallest extent necessary and the remaining parts will continue in full force. The failure of the Company to enforce a term on one occasion does not waive the right to enforce it later.

24. Entire Agreement

These terms, together with the Privacy Policy and any specific written service agreement, make up the entire agreement between you and the Company on the matters they cover. They replace any earlier discussion, proposal or understanding on the same matters, whether written or spoken.

Where the Company provides a written proposal before an engagement begins, that proposal sets out the commercial details and these terms set out the general conditions that apply to it. Read together, they describe exactly what the Company will do, what you will pay and how the relationship is governed.
